Bitcoin miner Cipher Mining is facing intense pressure from investors after announcing a financial restructuring focused on artificial intelligence. The company issued 40.7 million new shares to settle old debts and raised $850 million in new convertible notes.
The market reacted negatively to the shareholder dilution and the increase in debt. The company's shares closed the October 16 trading session at $8.98. This figure represents a 52% decline over the past year.
The company's plan involves building data centers designed for high-performance workloads. This strategy seeks to diversify revenue streams beyond digital asset mining. However, the high cost of this transition has created uncertainty regarding the business valuation.
The new debt notes mature in November 2032 and do not require periodic interest payments. Even so, noteholders may demand early repayment in 2030 under certain conditions. The company also spent nearly $90 million on operations to try to limit future share dilution.
The rise in corporate debt among mining companies increases liquidity risk and amplifies volatility for assets in the digital infrastructure sector.
