Strive Launches Preferred Stock Offering With 16.7% Yield
Company prices shares at $90 with a $15 annual dividend to fund Bitcoin acquisitions and corporate operations

Strive has priced seven million preferred shares, known as SATS, at $90 each. The asset offers an annual dividend of $15 paid in daily installments. This results in an implied yield of 16.7% for those who purchased the shares at launch.
The operation is expected to raise $630 million before expenses with settlement scheduled for October 20. The company intends to use the proceeds to buy Bitcoin, support operational activities, acquire income-generating assets, or repurchase its own shares.
Although the par value of the shares is $100, the $90 price reflects specific market dynamics. Preferred shareholders have priority in receiving payments compared to common shareholders but do not have a maturity date for the redemption of invested capital.
The future trading price of SATS will depend on the willingness of other investors to acquire the dividend stream and the perception of risk regarding Strive's finances. As the asset is perpetual, the market value may fluctuate independently of the maintenance of regular dividend payments.
Strive's capital structure places SATS holders in a position of preference in liquidation limited to the $100 value. Investors should consider that the announced yield does not guarantee the return of the principal amount invested in the event of a secondary market sale.
