The massive all-stock deal focuses on expanding infrastructure for artificial intelligence and data centers.

Marvell Technology officially announced the acquisition of Lumentum on Monday in a transaction valued at $115 billion. The deal will be conducted entirely through a stock swap and includes the acquired company's financial liabilities. This operation stands as one of the largest corporate bets of 2026 in the technology sector.

The primary goal of the merger is to integrate electrical and optical technologies to meet the growing demand for data centers focused on artificial intelligence. Marvell estimates that the combined business will increase its total addressable market to $550 billion. The process is expected to conclude during the first half of 2028.

Each Lumentum share will be converted into 4.5 Marvell shares under the established terms. The price per share set in the contract reflects a 23.9% premium over the price recorded before initial reports about the negotiations surfaced. The acquiring company aims to strengthen its competitive position against Broadcom in the supply of custom chips.

The market reacted with volatility to the merger announcement. Shares of both companies saw significant declines during trading after the financial details were released. Analysts note that the current high-interest-rate environment poses additional challenges for large capital movements in the tech sector.

The consolidation of this sector could accelerate innovation in chips and network components while increasing operational efficiency for companies that rely on high-speed infrastructure to process complex language models.
